1. Definitions
- “Zapmail,” “we,” “us,” or “our” means Outbox Labs Inc. and its affiliates.
- “Affiliate,” “you,” or “your” means the individual or entity that has agreed to these Terms.
- “Program” means the Zapmail Affiliate Program.
- “Referral Link” means the unique URL generated by the Program dashboard for tracking referrals.
- “Qualifying Purchase” means a Paid Subscription (as defined in §3.1) completed by a Referred Customer that satisfies all eligibility criteria in §4.
- “Referred Customer” means a new Zapmail customer who: (i) clicks your Referral Link, (ii) completes account registration within the same browser session, and (iii) has not held any Zapmail‑related account, mailbox, or trial in the preceding 12 months.
2. Enrollment & Acceptance
- Application Review. Submission of the Program application does not guarantee acceptance. We reserve sole discretion to approve or reject applications.
- One Account Rule. Each natural person or legal entity may maintain one affiliate account. Additional accounts will be closed and associated commissions void (see §4.4).
- Accurate Information. You must provide and maintain complete and accurate information, including payment details and tax documentation. Failure to do so may delay or forfeit payouts.
3. Commission Structure
3.1 Eligible Transactions
A “Paid Subscription” is a direct purchase of any Zapmail plan after the expiration of a free trial (if applicable) using a valid payment method.
3.2 Commission Rate
The default commission is 10 % of Net Revenue (gross revenue minus sales tax, discounts, credits, or refunds) on the first Paid Subscription of each Referred Customer.
3.3 First‑Purchase Rule
Commissions apply only to the first Paid Subscription completed by a Referred Customer (“First‑Purchase Commission”). Upgrades, add‑ons, renewals, or subsequent purchases are excluded.
3.4 Lifetime Earnings Scope
While the First‑Purchase Commission is calculated once, it remains payable so long as the purchase is not refunded, cancelled, or disputed within the 30‑day Cooling‑Off Period (§5).
4. Eligibility Criteria
4.1 Valid Referrals
A referral is valid when the Referred Customer (a) is tracked via your Referral Link, (b) completes checkout in the same session, and (c) does not request any manual discount, coupon, or price override that replaces the affiliate credit.
4.2 Discount‑in‑Lieu Policy (“Referral Waiver”)
If a prospective customer negotiates a price concession or requests that “the affiliate tag be removed” in exchange for an additional discount, all related commissions are void, even if the Referral Link was used.
4.3 Self‑Referral & Related‑Party Transactions
Purchases made by you, your employees, immediate family members, or entities under common control are self‑referralsand ineligible. Abuse results in account termination and claw‑back of paid commissions.
4.4 Duplicate / Multiple Accounts
Creating, encouraging, or instructing customers to open multiple Zapmail workspaces for the primary purpose of stacking commissions is prohibited. Only the first qualifying workspace per end‑customer/IP/email qualifies. Additional workspaces are flagged as duplicates, and their commissions are void.
4.5 Prohibited Promotional Practices
- Cookie stuffing, link hijacking, or invisible iframes
- Misleading claims about product capabilities or pricing
- Trademark or brand bidding on search engines without written consent
- Spam or unsolicited bulk email not compliant with CAN‑SPAM/GDPR
- Posting Referral Links on coupon/deal sites without prior approval
Violation may result in immediate suspension (§9).
5. Refunds, Chargebacks & 30‑Day Cooling‑Off Period
- Cooling‑Off Period. Commissions for a Qualifying Purchase become payable 30 calendar days after the transaction date to account for refunds or chargebacks.
- Refunds & Chargebacks. If the Referred Customer receives a full or partial refund—or disputes the charge—within 90 days, the corresponding commission is reversed or withheld. Negative balances will be offset against future payouts.
- Early Cancellation. If a Referred Customer cancels a recurring subscription before the start of their second billing cycle, the related commission is void and will be reversed, even if the first billing cycle completed without a refund.
- Retroactive Adjustments.** We reserve the right to correct tracking errors and adjust payouts retroactively.
6. Payout Terms
- Schedule. Commissions are paid on a Net‑60 basis. In practical terms: earnings that clear the 30‑day Cooling‑Off Period (§5) are scheduled for payout on the 15 th of the second month following the purchase. Example – a qualifying purchase made any time in January becomes payable on 1 March and is disbursed on 15 March.
- Minimum Threshold. The minimum payout is US $50. Balances below this threshold roll over.
- Payment Method. Payouts are disbursed via Wise or PayPal (your choice). Transfer fees, currency conversion, and withholding taxes (where applicable) are deducted from the payout amount.
7. Marketing & Compliance Guidelines
- Brand Assets. Use only the logos and creatives provided in the affiliate dashboard. Do not modify without consent.
- Honest Representation. Affiliates must accurately describe Zapmail’s features and pricing, avoiding exaggerated claims or unsubstantiated data.
- Regulatory Compliance. You are solely responsible for ensuring your promotional activities comply with all applicable laws (e.g., CAN‑SPAM, GDPR, FTC endorsement guidelines).
8. Data Protection & Confidentiality
You shall use any customer or Zapmail data solely for the purpose of performing under this Program and must comply with applicable privacy laws.
9. Term & Termination
- At‑Will Termination. Either party may terminate participation at any time with or without cause by written notice (email sufficient).
- Termination for Cause. We may suspend or terminate immediately for (i) breach of these Terms; (ii) fraudulent activity; or (iii) conduct that could damage Zapmail’s reputation.
- Post‑Termination. Upon termination, you must remove all Referral Links and cease using brand assets. Eligible commissions that became payable before termination will be paid on the next cycle; all pending or disputed commissions are forfeited.
10. Dispute Resolution
Disputes must be submitted in writing within 30 days of the disputed event, providing supporting evidence. Zapmail’s good‑faith determination is final. We encourage escalation via a live call prior to formal dispute.
11. Amendments
We may modify these Terms by posting a revised version at the Program URL. Changes take effect 7 days after posting unless (i) required by law, or (ii) addressing abuse, in which case changes are immediate.
12. Limitation of Liability
To the maximum extent permitted by law, Zapmail’s aggregate liability under these Terms shall not exceed the total commissions paid to you in the 12 months preceding the claim.
13. Governing Law & Jurisdiction
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict‑of‑laws principles. Any dispute shall be resolved exclusively in the state or federal courts located in Wilmington, Delaware.
