Zapmail Affiliate Program Terms of Service

Welcome to the Zapmail Affiliate Program. By enrolling in or participating in this program, you ("Affiliate", "you", or "your") agree to abide by the terms and conditions set forth in this Affiliate Agreement ("Agreement"). This Agreement is a legally binding contract between you and Outbox Labs, the parent company of Zapmail ("Zapmail", "we", "us", or "our").
Please read this Agreement carefully. If you do not agree to the terms, do not participate in the Zapmail Affiliate Program.

1. Program Eligibility and Enrollment
To participate in the Zapmail Affiliate Program, you must either:
- Submit a complete and accurate application through our official Affiliate Signup Page, or
- Be manually approved by a member of the Zapmail team at our sole discretion.
We reserve the right to:
- Accept or reject any application, without obligation to disclose reasons
- Limit access to individuals who receive discounted pricing, custom billing arrangements, or partner deals
- Revoke access at any point if we believe an affiliate no longer aligns with Zapmail’s standards, brand values, or business goals
Note: Participation is a privilege, not a right.

2. Affiliate Obligations
As a Zapmail Affiliate, you agree to:
- Promote ethically: Market Zapmail truthfully and in good faith, without exaggeration or misrepresentation.
- Use approved assets: Only use logos, creatives, videos, and other marketing materials approved or provided by Zapmail.
- Follow laws: Ensure compliance with all applicable marketing and advertising laws including but not limited to CAN-SPAM, GDPR, FTC guidelines, and regional consumer protection laws.
- Protect brand integrity: Maintain a positive representation of Zapmail across all platforms.

3. Prohibited Conduct
You must not engage in the following behaviors:
- Self-referrals: Earning commissions on purchases made by yourself, family members, employees, business partners, or through your own business entities is strictly prohibited.
- Incentive stacking: Combining affiliate rewards with other benefits like lifetime deals, discounts, or partner offers is not allowed.
- Coupon abuse: You may not promote unapproved coupon codes, nor post private offers in public forums without written consent.
- Spam or unsolicited outreach: Promoting Zapmail through unsolicited messages, fake reviews, bots, or click farms will lead to immediate termination.
- Cookie stuffing or link manipulation: Any attempt to set affiliate cookies without clear, voluntary user interaction is forbidden.
- False or misleading claims: You may not exaggerate earnings, promise outcomes, or misstate Zapmail’s features, pricing, deliverability, or reputation.
Violation of any of the above will result in immediate removal from the program and forfeiture of all unpaid commissions.

4. Commission Structure and Payment Terms
Commission Rate
- 10% recurring commission on all qualifying purchases made by referred users, including renewals (monthly plans only).
Ineligible Plans
- Annual plans and domain purchases are excluded from affiliate commissions.
- Any custom pricing, agency deals, or credits offered as part of another promotion are non-commissionable.
User Association
- Commissions are linked to a user email at signup. If they cancel and return later with the same email, commissions resume.
- If they sign up again using a different email, they will not be attributed to the original affiliate.
Payout Terms
- Payouts follow a NET 60 schedule, i.e., commissions are paid 60 days after a successful transaction.
- Minimum payout threshold: $25
- Balances below $25 roll over to the next cycle.
- Payout methods: Wise
Affiliates are responsible for ensuring accurate and up-to-date payout details.
Refunds and Chargebacks
- If a referred user’s payment is refunded, reversed, or charged back, the related affiliate commission will be revoked or deducted from your next payment.

5. Program Integrity and Audits
Zapmail reserves the right to review, investigate, or audit any affiliate account at any time, including:
- Referral traffic and sources
- Conversion quality
- Promotional methods and copy used
- Social media or content channels
- Any suspicious behavior or fraudulent activity
Failure to cooperate with audits or to provide requested documentation may result in suspension, disqualification, or permanent ban from the program.

6. Termination Policy
Termination by Either Party
This Agreement may be terminated at any time, with or without cause, by either party via written notice.
Consequences of Termination
- All Zapmail branding and affiliate links must be removed from your platforms within 5 business days
- If termination is due to a breach of terms, all unpaid commissions will be forfeited
- If terminated for inactivity or personal choice, valid accrued commissions will be paid out per the usual cycle

7. Confidentiality
You agree not to disclose any non-public information shared by Zapmail, including:
- Program performance data or analytics
- Feature roadmaps or unreleased updates
- Internal processes or team insights
- Commission data or payout metrics
Misuse or disclosure of confidential information may result in legal action and permanent removal from the program.

8. Limitation of Liability
Zapmail and Outbox Labs shall not be held liable for:
- Any indirect, incidental, punitive, or consequential damages
- Loss of earnings, goodwill, business opportunities, or traffic
- Downtime or delays due to platform outages or third-party issues
Total liability shall not exceed the commissions paid to the affiliate in the preceding 1 month.

9. Indemnification
You agree to indemnify and hold harmless Zapmail, Outbox Labs, and their directors, officers, and employees from any claim, suit, damage, or liability arising from:
- Your participation in the program
- Any breach of this Agreement
- Misuse of intellectual property or violation of advertising laws

10. Updates to Terms
Zapmail reserves the right to modify these terms at any time. All affiliates will be notified via email or in-app notifications.
Continued participation in the program constitutes your acceptance of the updated terms. It is your responsibility to review the Affiliate Terms of Service regularly.

11. Governing Law & Dispute Resolution
This Agreement shall be governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles. Any disputes arising under or in connection with this Agreement will be resolved via binding arbitration in accordance with the rules of the American Arbitration Association (AAA).

12. Final Notes and Rights Reserved
- Zapmail’s Affiliate Program is designed to reward genuine advocacy and growth.
- Zapmail holds the final right to approve, reject, suspend, audit, or remove any affiliate at its sole discretion.
- Manual approvals, exclusive deals, and partner arrangements cannot be combined with affiliate commissions unless specifically approved.
- Any abuse of the program, loophole exploitation, or intent to game the system may lead to permanent blacklisting.
- Participation does not create a legal partnership, employment, or joint venture between the affiliate and Zapmail.
